Terms of Service

The agreement that governs your use of Basis, under the laws of Hong Kong.

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you and Basis (“Basis”, “we”, “us”, or “our”) governing access to and use of the Basis website at basis.hk, marketing Operators platform, demos, and related services (together, the “Services”).

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.

2. The Services

Basis provides AI-assisted marketing Operators and workspace tools to help you draft, refine, and manage marketing content and related workflows. Features may change over time. We may modify, suspend, or discontinue any part of the Services with reasonable notice where practicable. Beta or experimental features may be offered “as is” and may be withdrawn at any time.

3. Accounts and eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old and able to form a binding contract under the laws of Hong Kong. Notify us promptly at [email protected] if you suspect unauthorised use of your account.

4. Plans, trials, and payment

Paid plans, trials, and usage limits are described on our pricing pages or in an order form. Fees are due as stated at purchase. Unless otherwise agreed in writing, subscriptions renew automatically until cancelled in accordance with the cancellation process we provide. Fees are generally non-refundable except where required by Hong Kong law or expressly stated by us. Taxes may apply in addition to listed prices.

5. Acceptable use

You agree not to:
  • use the Services unlawfully, or to generate content that is fraudulent, defamatory, infringing, discriminatory, or otherwise unlawful under Hong Kong law;
  • attempt to reverse engineer, scrape, overload, or disrupt the Services or underlying models, except to the extent such restriction is prohibited by law;
  • upload malware, or circumvent security, rate limits, or access controls;
  • use the Services to develop a competing AI marketing product by systematically extracting outputs at scale;
  • misrepresent AI-generated content as human-authored where disclosure is required by law or platform rules you are subject to.

We may suspend or terminate access for violations of these Terms or to protect the Services and other users.

6. Your content and brand materials

You retain ownership of briefs, brand guidelines, uploads, and other materials you submit (“Customer Content”). You grant Basis a non-exclusive, worldwide licence to host, process, transmit, and display Customer Content solely as needed to provide and improve the Services for you.

You represent that you have the rights necessary to submit Customer Content and that doing so does not infringe third-party rights or applicable law. You are responsible for reviewing outputs before publication or commercial use.

7. AI-generated outputs

Outputs generated by the Services may be inaccurate, incomplete, or unsuitable for your market or brand. Basis does not guarantee that outputs are unique, free of third-party claims, or compliant with advertising, consumer, or industry rules in any jurisdiction. You remain solely responsible for editorial review, legal clearance, and use of outputs. Subject to your compliance with these Terms, and except for components we expressly retain, we do not claim ownership of the unique content of outputs generated for you from your Customer Content.

8. Intellectual property

The Services, including software, models (to the extent licensed to us), branding, documentation, and design, are owned by Basis or our licensors and are protected by intellectual property laws. These Terms do not transfer any ownership of the Services to you. Feedback you provide may be used by Basis without obligation to you.

9. Confidentiality

Each party may receive confidential information of the other. The receiving party will use reasonable care to protect that information and use it only to perform under these Terms, except where the information is public, independently developed, or required to be disclosed by law (with notice where legally permitted).

10. Third-party services

The Services may rely on third-party hosting, authentication, payment, analytics, or AI model providers. Your use of those providers may be subject to their terms. Basis is not responsible for third-party services we do not control, except as required by applicable law.

11. Disclaimers

To the maximum extent permitted by the laws of Hong Kong, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes liability that cannot be excluded under Hong Kong law.

12. Limitation of liability

To the maximum extent permitted by Hong Kong law, Basis and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to the Services or these Terms, whether in contract, tort (including negligence), or otherwise.

Our aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Basis for the Services in the twelve (12) months before the claim, or (b) HKD 1,000, except where liability cannot be limited by law.

13. Indemnity

You will indemnify and hold harmless Basis and its officers, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your use of outputs, your breach of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by Basis’s wilful misconduct.

14. Suspension and termination

You may stop using the Services at any time and cancel a paid plan as described in your account or order. We may suspend or terminate access if you materially breach these Terms, fail to pay fees when due, or if continued provision would create legal or security risk. Upon termination, your right to access the Services ends; provisions that by nature should survive (including intellectual property, disclaimers, limitations, indemnity, and governing law) will survive.

15. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes will be posted on this page or notified through the Services or by email where appropriate. Continued use after the effective date of updated Terms constitutes acceptance, except where additional consent is required by law.

16. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. Subject to any mandatory rights you may have, the courts of Hong Kong have exclusive jurisdiction to settle disputes arising out of or in connection with these Terms or the Services. Nothing prevents either party from seeking interim injunctive relief in any court of competent jurisdiction.

17. General

These Terms, together with the Privacy Policy and any order form or plan terms we agree with you, are the entire agreement regarding the Services and supersede prior discussions on the same subject. If any provision is held unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a corporate reorganisation or sale of assets.
